Terms of Service
These Terms of Service ("Terms") govern your access to and use of NumiSync ("we", "us", "our") at https://numisync.app and https://app.numisync.app (collectively, the "Services"). By creating an account or using the Services, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Services. By using NumiSync, you represent that you meet these requirements.
2. Account Registration
You must provide accurate information when creating your account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at ethan@numisync.app if you suspect unauthorized access.
3. Subscription and Payment
NumiSync is offered on a subscription basis. Pricing is available at numisync.app/#pricing. Subscriptions are billed monthly and may be cancelled at any time. Early access subscribers who lock in founding member pricing will retain that rate for the lifetime of their continuous subscription. We reserve the right to change pricing with 30 days' notice to existing subscribers.
4. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Services
- Reverse engineer, decompile, or disassemble the Services
- Use the Services to transmit malware or harmful code
- Resell or sublicense access to the Services without written permission
5. Your Data
You retain ownership of all data you enter into NumiSync, including inventory records, order records, and contact information. We process your data only as necessary to provide the Services and as described in our Privacy Policy.
Upon cancellation of your account, all your data will be permanently deleted within 30 days. You may export your data at any time using the export tools within the application.
6. Third-Party Integrations
NumiSync may integrate with third-party platforms including Shopify and eBay. Your use of these integrations is subject to the terms of those platforms in addition to these Terms. We are not responsible for the availability or actions of third-party platforms.
7. Intellectual Property
The Services, including all software, design, and content, are owned by NumiSync and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described herein.
8. Disclaimers
The Services are provided "as is" without warranties of any kind, express or implied. NumiSync does not warrant that the Services will be uninterrupted, error-free, or free of security vulnerabilities. Spot prices and melt value calculations are provided for informational purposes and should not be relied upon as financial advice.
9. Limitation of Liability
To the maximum extent permitted by law, NumiSync shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising from your use of the Services. Our total liability shall not exceed the amount paid by you to NumiSync in the 12 months preceding the claim.
10. Termination
We may suspend or terminate your account if you violate these Terms. You may cancel your account at any time. Upon termination, your access to the Services will end and your data will be deleted within 30 days as described in Section 5.
11. Governing Law
These Terms are governed by the laws of the State of Oklahoma, United States, without regard to conflict of law principles.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or in-app notice. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

Annex A — Data Processing Agreement
This Data Processing Agreement ("DPA") forms part of the Terms of Service between NumiSync ("Processor") and the merchant using the Services ("Controller"). This DPA applies where NumiSync processes personal data on behalf of the merchant in connection with third-party channel integrations such as Shopify.
Data Processing Agreement
1. Definitions
"Personal Data" means any information relating to an identified or identifiable natural person received by NumiSync through channel integrations authorized by the merchant.
"Processing" means any operation performed on Personal Data, including collection, storage, use, and deletion.
2. Scope and Purpose
NumiSync processes Personal Data solely for the purpose of providing inventory and order management services as directed by the merchant. Specifically, when a merchant authorizes Shopify order webhook integration, NumiSync receives customer name, shipping address, and order line items to:
- Decrement inventory quantities for items sold
- Create corresponding sales order records in the merchant's NumiSync account
No Personal Data received through channel integrations is used for any other purpose, including marketing, profiling, or analytics.
3. Processor Obligations
NumiSync agrees to:
- Process Personal Data only on documented instructions from the merchant (i.e., the authorized integration)
- Ensure that personnel authorized to process Personal Data are bound by appropriate confidentiality obligations
- Implement appropriate technical and organizational security measures
- Not engage sub-processors without appropriate data protection agreements in place
- Assist the merchant in responding to requests from data subjects exercising their rights
- Delete or return all Personal Data upon termination of the Services, within 30 days
- Provide all information reasonably necessary to demonstrate compliance with this DPA
- Notify the merchant within 72 hours of becoming aware of a Personal Data breach
4. Sub-Processors
NumiSync uses the following sub-processors to provide the Services:
- Supabase — database hosting and storage (data encrypted at rest and in transit)
- Vercel — application hosting and serverless functions
- Anthropic — AI processing for The Loupe feature (inventory and order data only, no end-customer personal data)
5. Data Transfers
Personal Data may be transferred to and processed in the United States. NumiSync relies on Standard Contractual Clauses and the data protection agreements of our sub-processors for international data transfers where applicable.
6. Security
NumiSync implements the following security measures:
- Encryption in transit (HTTPS/TLS) for all data
- Encryption at rest via Supabase's database encryption
- Row-level security policies ensuring each merchant can only access their own data
- Automated encrypted backups with point-in-time recovery
7. Retention and Deletion
Personal Data received through channel integrations is retained only for as long as the merchant's account is active. Upon account termination, all Personal Data is permanently deleted within 30 days. Merchants may request earlier deletion by contacting ethan@numisync.app.
